Contract Manager

Position Purpose
The Contract Manager is responsible for overseeing contracts throughout their complete lifecycle, from 
planning, drafting and negotiation through execution, administration, compliance, renewal, closeout or 
termination. The role ensures that contracts protect the organization's commercial, legal and 
operational interests while supporting business objectives and applicable requirements.
The Contract Manager provides disciplined contract governance, maintains accurate and auditable 
records, monitors obligations and performance, manages changes and commercial exposure, and 
coordinates the timely resolution of contractual matters. The role serves as the principal point of 
contact for contract-related issues and works closely with legal, procurement, finance, operations and 
project teams.

1. Contract Preparation and Development
• Draft, review, revise and coordinate contracts, subcontracts, service agreements, purchase 
agreements, memoranda of understanding and related commercial documents.
• Translate approved business requirements, scopes of work, service levels, deliverables and 
commercial assumptions into clear contractual provisions.
• Ensure terms and conditions align with company policies, delegated authorities, applicable laws 
and approved commercial positions.
• Confirm that responsibilities, deliverables, acceptance criteria, payment terms, securities, 
insurance, warranties, liabilities, remedies and termination rights are clearly defined.
• Coordinate legal, technical, financial, procurement and operational reviews before contract 
execution.
2. Contract Negotiation
• Lead or support negotiations with clients, consultants, suppliers, subcontractors and service 
providers.
• Prepare negotiation strategies, issue lists, fallback positions and recommendations for 
management approval.
• Resolve contractual and commercial issues while protecting the organization's interests and 
maintaining constructive business relationships.
• Ensure negotiated departures from standard terms are risk-assessed, documented and approved 
by the appropriate authority.
• Maintain a complete record of clarifications, qualifications, correspondence, approvals and agreed 
changes.
3. Contract Administration and Records
• Administer contracts in accordance with their terms, approved procedures and the organization's 
governance framework.
• Maintain accurate, complete and auditable contract files, registers, correspondence, notices, 
approvals and supporting documentation.
